1. Introduction and Acceptance of Terms
Welcome to Aseyi! These Terms & Conditions ("Terms") govern your access to and use of the Aseyi application, website, and related services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms, as well as our Privacy Policy (which is incorporated herein by reference). If you do not agree with these Terms or the Privacy Policy, you must not use Aseyi.
Contracting Entity: The Service is provided by X-MASTERY LIMITED ("Aseyi", "we", "us", or "our"), a company registered in the United Kingdom. Our contact details are hi@aseyi.com. Throughout these Terms, "you" or "User" refers to the individual or legal entity using Aseyi. If you are using the Service on behalf of a company or organization, then you are agreeing to these Terms for that entity and representing to us that you have the authority to bind that entity to these Terms. In such a case, "you" will refer to both you as an individual user and that entity.
Please read these Terms carefully and save a copy for your records. We may update the Terms from time to time (see Changes to Terms below). If you have any questions about these Terms, please contact us at hi@aseyi.com.
2. Eligibility and Account Registration
2.1 Eligibility Requirements
To use Aseyi, you must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding contract. By accessing or using the Service, you represent and warrant that you meet these requirements. If you are under 18, you are strictly prohibited from creating an account or using Aseyi. We reserve the right to request proof of age or identity at any stage. The Service is intended for users in the United Kingdom and elsewhere; however, if you access the Service from outside the UK, you are responsible for ensuring your use is lawful in your jurisdiction and that you comply with local laws. You also confirm that you are not barred from using such services under any applicable law (for example, that you are not on any trade sanctions list).
2.2 Account Creation
To access most features of Aseyi, you must create an account. You can register by providing a valid email address and creating a password, or by using a supported single sign-on method (such as Sign in with Google or Apple). You agree to provide true, accurate, and complete information during registration and to keep it updated. You must not use false details or impersonate any other person or entity. Each user may only create one account, unless explicitly permitted for separate team/business accounts.
2.3 Account Security
You are responsible for maintaining the confidentiality of your account login credentials. Do not share your password or allow others to access your account. If you suspect any unauthorized use of your account or a security breach, you must notify us immediately at hi@aseyi.com. We recommend using a strong, unique password and enabling any additional security features we may offer (such as two-factor authentication). Aseyi is not liable for any loss or damage arising from your failure to safeguard your account. You are responsible for all activities that occur under your account (including those by others, if you permit someone to use your account), except those activities that are caused by our own negligence or breach of these Terms.
2.4 Team and Business Accounts
Aseyi may offer plans for teams or businesses, allowing multiple authorized users under one organization account. If you are the administrator or owner of a team/business account (a "Team Sponsor"), you are responsible for ensuring that all participating users (your employees or team members) are aware of and comply with these Terms. As a Team Sponsor, you assume responsibility for the actions of your Authorized Users. Any violation of these Terms by a team member will be treated as a violation by the Team Sponsor. If you invite others to use Aseyi through a team feature, you must have the rights or permission to share their information with us (such as their email for invitation). Users invited to a team will have their own logins but may be under the oversight of the Team Sponsor's account. We may also offer enterprise agreements with additional terms; if such an agreement exists and conflicts with these Terms, the enterprise agreement will control to the extent of the conflict.
2.5 Account Termination by You
You may stop using our Service and/or delete your account at any time. See Termination (Section 8) for details on account deletion. If you delete your account, these Terms will no longer apply, except for any provisions that survive (such as liability limitations).
3. Subscription Plans and Payments
3.1 Paid Subscriptions
Aseyi offers subscription plans that provide access to premium features and content. By subscribing, you agree to pay the applicable subscription fees and any associated taxes. We currently offer [monthly and yearly] subscription options, and pricing is provided at the time of purchase. Details of what each plan includes can be found in the app or on our website. We may also offer a free basic tier or trial period as described below.
3.2 Free Trials
We may offer new users a free trial of a premium subscription for a limited period (for example, a 14-day free trial) to evaluate the Service. The specific terms of any free trial (such as duration and features included) will be stated at sign-up. Unless you cancel before the trial ends, your free trial will automatically convert to a paid subscription and your provided payment method will be charged the applicable subscription fee. Each user (or organization) is limited to one free trial unless otherwise specified. If you do not want to continue with a paid plan, you must cancel before the trial period expires (see Cancellation below) to avoid charges.
3.3 Billing and Auto-Renewal
Subscriptions are auto-renewing. This means that when you purchase a subscription, you authorize Aseyi (or its payment processor) to charge your chosen payment method at the beginning of each subscription term (e.g., monthly or annually). Your subscription will renew automatically for successive periods of the same length until you cancel. We will bill you for the subscription fee and any applicable taxes on each renewal without further authorization from you, unless you have cancelled your subscription in advance. Please note that the pricing for each renewal term will remain the same as your initial term unless we have notified you of a change in price (in which case the new price will apply from the next renewal and you will have the opportunity to cancel if you do not agree to the new price).
3.4 Payment Processing
Payments are handled through third-party payment processors (for example, Stripe for credit/debit card payments, or the Apple App Store / Google Play Store for in-app subscriptions). The processing of payments is subject to the terms and policies of those third parties in addition to ours. By providing a payment method, you represent that you are authorized to use that payment method and you authorize our payment processor to charge the full amount due for the subscription. If your payment is through an App Store (Apple or Google), the subscription purchase is also governed by the App Store's own terms and you may be billed via your Apple/Google account. Aseyi does not receive or store your full financial account information (such as full credit card numbers); we may receive limited information from the processor (like a billing address or a tokenized card reference and confirmation of payment).
3.5 Failed Payments
If we cannot charge your payment method (for example, due to expiration or insufficient funds), we will attempt to notify you and may retry the charge. If payment remains unsuccessful, we may suspend or downgrade your account to a free tier. It is your responsibility to keep your billing information current and ensure prompt payment. You agree to promptly update your account with any changes (e.g., new card number or expiration) to avoid interruption of service.
3.6 Cancellation
You can cancel your subscription at any time. Cancellation will prevent future renewal charges, but will not retroactively refund the current term. For example, if you cancel in the middle of a month, you will typically retain access to premium features until the end of that paid month, and no further charges will occur after. To cancel, you can use the functionality provided in the app's account/subscription settings or, if you subscribed via an App Store, through your App Store subscription management. You may also contact us at hi@aseyi.com for assistance with cancellation. Upon cancellation, your subscription will not renew at the next billing cycle. We recommend canceling at least 24 hours before the renewal date to ensure your card is not charged for the next period.
3.7 Refunds
Subscription purchases (including renewal charges) are non-refundable by default. This means that if you cancel in the middle of a paid term, we generally will not provide a refund for the remainder of that term; you will retain access until the period ends. However, if you believe you deserve a refund due to exceptional circumstances (for instance, if you were charged after you timely attempted to cancel, or you encountered a serious issue with the Service), please contact us and we will review requests on a case-by-case basis. If you subscribed via Apple or Google, their respective App Store refund policies will apply, and you may need to request a refund through them.
3.8 Changes to Fees
We may change our subscription plans and pricing. Any price changes will be communicated to you in advance via email or within the app. Price changes will not affect your current subscription period and will only apply from your next renewal. If you do not agree to a price change, you may cancel your subscription before the new rate takes effect. Continuing to use the Service after the price change goes into effect constitutes acceptance of the new price.
3.9 Free and Beta Features
Aseyi may offer free features or beta (pre-release) features as part of the Service. Free features (if any) are provided at our discretion and can be modified or terminated at any time. Beta features are experimental and offered on an "as is" basis for evaluation; they may have limited support and can be changed or removed. Using beta features is optional. These Terms apply fully to any beta features, but they might also be subject to additional terms which we will provide if applicable.
4. License to Use the Service
4.1 Grant of License
Subject to your compliance with these Terms and payment of any required fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Aseyi for your personal productivity and business coaching purposes. If you are an individual user, this license is for your personal use. If you are using Aseyi on behalf of a company or team, this license extends to your internal business use. You may download and install our app on compatible devices or access our web interface solely for your own use or your organization's internal use. All rights not expressly granted to you are reserved by Aseyi and its licensors.
4.2 Restrictions
You agree not to, and not to permit others, to do any of the following:
- Copy, modify, distribute, or create derivative works based on any part of the Service (except to the extent such restriction is prohibited by applicable law).
- Reverse engineer, decompile, or attempt to extract the source code of the Service or any related software, except as allowed by law.
- Rent, lease, lend, sell, sublicense, or redistribute the Service or any portion of it to any third party without our prior written consent.
- Use the Service for the benefit of any third party or in any manner not permitted by the license (for example, providing a commercial service to others using our app without authorization).
- Remove, obscure, or alter any proprietary notices or labels on the Service (such as copyright or trademark notices).
- Use any automated system (e.g., bots, scrapers) to access the Service or extract data, or otherwise attempt to interfere with the normal operation of the Service (including by imposing an unreasonable load on our infrastructure).
- Bypass, disable or circumvent any measures we use to secure the Service or enforce usage limits.
- Upload or transmit any viruses, malware, or harmful code, or do anything that could harm the functionality or security of the Service.
Violation of these restrictions may result in immediate suspension or termination of your account without notice, and may subject you to legal consequences.
4.3 Updates
We may, from time to time, release updates, patches, or new versions of the Aseyi app to improve features or fix bugs. You agree that the license granted covers any updates as well. Depending on your device settings, the app may download and install updates automatically. We encourage you to keep the app updated for optimal performance and security. However, nothing in these Terms obligates us to provide any updates or to continue providing or supporting any particular features.
4.4 Feedback
If you provide suggestions, ideas, or feedback to us about the Service ("Feedback"), you agree that such Feedback is given voluntarily. We are free to use, disclose, reproduce, or otherwise exploit the Feedback as we see fit without any obligation or compensation to you. For example, if you suggest a new feature and we implement it, we are not required to credit or pay you. You grant us a worldwide, perpetual, irrevocable, sublicensable, royalty-free license to use and incorporate any Feedback you provide.
5. User Content and Data
5.1 Your Content
As part of using Aseyi, you may input, upload, or generate content that is personal to you or your business ("User Content"). This can include the goals you set, tasks and to-do items, journal entries, chat conversations with the AI coach, or any other data you submit into the app. You retain all rights and ownership of your User Content. We do not claim ownership over the information or data that you provide. These Terms do not grant us any ownership of User Content – only the limited rights that are needed to operate the Service.
5.2 License to Aseyi
By using the Service and submitting User Content, you grant Aseyi a worldwide, non-exclusive, royalty-free, license (with the right to sublicense to our service providers) to use, copy, process, transmit, host, and display your User Content solely for the purpose of operating and improving the Service for you and other users. This means, for example, we have your permission to store your data on our servers, back it up, display it to you in the app, and format it as needed for functionality. If you ask the Aseyi AI assistant a question or provide input, we have the right to process that input and generate an output for you, and store that output. We will not use your User Content for any purpose outside of providing the service to you without your consent. Specifically, we do not use your data to train our machine learning models in a way that others would benefit from, nor to build unrelated products, unless you give permission. You can revoke our license to use your content by deleting it or deleting your account, though please note some backups or legal copies might persist for a limited time (see Privacy Policy for details on deletion).
5.3 Responsibility for Content
You are solely responsible for all User Content you input or create on Aseyi. This includes ensuring that you have all necessary rights to use the content and share it with us. Do not upload or share any content that: (a) is illegal, harmful, hateful, obscene, defamatory, or otherwise objectionable; (b) infringes or violates the intellectual property rights or privacy rights of any third party; or (c) contains personal data of others without proper authorization or any sensitive personal data that is not necessary for using the app. While we have no obligation to monitor User Content, we reserve the right to remove or disable access to any content that we deem violates these Terms or applicable law, at our sole discretion. You understand that by using the Service, you may be exposed to content input by others (in aggregated, anonymized ways such as benchmarks or generic suggestions) and you use such content at your own risk.
5.4 Data Usage and Sharing
Our handling of your personal data is governed by our Privacy Policy. Please review it to understand how we collect and use your data. By agreeing to these Terms, you also consent to the data practices described in the Privacy Policy. Among other things, the Privacy Policy explains that we do not share your personal information with third parties except in limited situations like using essential service providers or when required by law. We do not sell your data to advertisers. If you are part of a team account, some of your data (like your name or task completion status) may be visible to other authorized users in your team, as per the design of the Service. By inputting team-related content, you understand it might be accessible to your team members according to the app's functionality. We will maintain appropriate confidentiality and security of your content. However, it is your responsibility not to share or input content that you wish to keep entirely private. If you choose to share content from Aseyi (for example, exporting a report or sharing a quote externally), you are responsible for that disclosure.
5.5 AI Processing of Content
Aseyi includes AI-driven features that analyze your data and provide insights or suggestions. By using these features, you agree that our algorithms may process your inputs and stored data to generate outputs. While we strive to ensure our AI provides useful and relevant guidance, you acknowledge that any content generated by the AI (the "AI Output") is based on patterns and information and may not be perfect or tailored to every situation. See Section 7 (Disclaimers) for important information on this. You are ultimately responsible for how you use or act on the AI Output. If you come across any AI Output that seems inappropriate, offensive, or that violates any law or right, please notify us. You also agree not to misuse the AI features (for example, not to ask the AI to produce disallowed content as described in Section 4.2 and 6.1).
5.6 Third-Party Content and Links
The Service might include links or integrations to third-party websites or services (for example, a link to an article or a connection to a calendar app in future versions). This content is provided for your convenience only. We do not endorse or assume any responsibility for third-party sites or services. If you access a third-party link, you do so at your own risk, and you may be subject to terms and policies of those third parties. Aseyi has no control over and no liability for third-party content.
6. User Obligations and Acceptable Use Policy
To maintain a respectful and lawful environment, all users must adhere to the following rules when using Aseyi:
6.1 Prohibited Conduct
You agree not to engage in any of the following activities on the Service:
- Illegal Activities: Do not use Aseyi for any unlawful purposes or in promotion of illegal activities. This includes planning or encouraging crimes, fraud, or other violations of law.
- Infringing Content: Do not upload or share content that infringes any third party's intellectual property or other rights (such as copyrighted material you don't have rights to use, trademarks, or confidential information of others).
- Harassment and Hate: Do not use the Service to harass, threaten, bully, or stalk anyone. Do not generate or share content that is defamatory, obscene, libelous, or that promotes discrimination or violence against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other legally protected characteristic.
- Privacy Violations: Do not share personal information of others without consent. This includes sensitive data or any content that would violate privacy or data protection laws. For example, do not input someone else's personal data (like their financial or health info) into the app unless you have legal rights to do so.
- Misuse of AI: Do not use the AI features in a way that is deceptive or harmful. You should not attempt to deceive others by presenting AI-generated content as human-generated in a misleading way. Do not use the AI to generate spam, malware, automated messages to harass, or any content for electoral campaigning or unlawful propaganda. Also, do not attempt to use the AI to create models that compete with Aseyi or to reverse-engineer our AI.
- Interference with Service: Do not disrupt or interfere with the Service's operation or the servers/network connected to the Service. This includes not transmitting worms, viruses, or any code of a destructive nature. Do not attempt to interfere with any user's access or use of the Service, such as by flooding, mail-bombing, or crashing the service.
- Circumvention: Do not attempt to circumvent any content filtering techniques or security measures that Aseyi employs, nor attempt to access areas or features of the Service that you are not authorized to access. This includes not probing or scanning the vulnerability of our system or network.
- Commercial Use: You may not use Aseyi for commercial solicitation or advertising (e.g., sending unsolicited promotions or advertisements through our chat). The Service is for your personal or internal business use, not for selling a third-party product or service or conducting surveys, contests, pyramid schemes, or chain letters.
- Multiple Accounts and Abuse: Do not create multiple accounts for disruptive or abusive purposes, or for the purpose of skirting restrictions (for instance, creating new accounts after being suspended). Do not engage in any behavior that constitutes abuse of Aseyi's offerings, including exploiting any bugs or loopholes to gain unintended advantage.
6.2 Consequences of Violations
Violation of this Acceptable Use Policy or any other part of these Terms may result in immediate termination or suspension of your account (see Termination below). We may also remove any prohibited content that you have posted without notice. Serious violations (such as criminal activity) may be reported to law enforcement. We reserve the right to take legal action for violations that harm our interests or the interests of others.
6.3 Reporting Abuse
If you become aware of misuse of Aseyi or believe someone is violating these Terms, please report it to us at hi@aseyi.com. We appreciate the community's help in keeping Aseyi safe and useful for everyone.
7. Disclaimers and Limitation of Liability
7.1 No Professional Advice
The content and insights provided by Aseyi (whether via the AI coach, dashboards, or any other feature) are for informational and productivity purposes only. Aseyi is not a licensed professional (financial advisor, attorney, doctor, etc.), and the information provided should not be construed as professional advice in any specific domain. You should not rely on Aseyi as the sole basis for making important decisions. For example, any business strategy suggestions or productivity tips given by the AI should be considered carefully, and, if needed, cross-checked with human experts. Always use your own judgment and consider seeking professional advice appropriate to your situation. Aseyi does not guarantee any specific outcomes in your business or personal productivity from using the app.
7.2 AI Output Disclaimer
You acknowledge that Aseyi's AI-driven features utilize machine learning models and may occasionally produce incorrect or nonsensical answers. While we aim for high-quality and accurate suggestions, the AI might hallucinate facts or give outdated information. Aseyi makes no warranty as to the accuracy or completeness of any AI-generated content. You should independently verify any important factual assertions presented by the AI. Content that appears very confident or detailed could still contain errors. The AI may not be aware of events or information that came after its training data, so its knowledge has cut-off points. By using the AI features, you understand and accept these limitations. Use of any AI-provided information is at your own risk.
7.3 "As Is" Service
Aseyi is provided on an "AS IS" and "AS AVAILABLE" basis. While we strive to maintain a reliable and accessible service, we do not guarantee that the Service will be uninterrupted, error-free, or completely secure at all times. To the fullest extent permitted by law, we disclaim any warranties and conditions of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Specifically, we do not warrant that (i) Aseyi will meet your specific requirements or expectations, (ii) any results or insights that may be obtained from the use of the Service will be accurate or reliable, (iii) the quality of any information or other material obtained by you through the Service will meet your expectations, or (iv) any defects or errors in the Service will be corrected.
7.4 Third-Party Services and Content
Aseyi may rely on third-party services (such as cloud hosting, authentication, or AI model providers) to function. While we choose reputable providers, we have no control over and assume no responsibility for the availability, accuracy, or performance of third-party services. We also do not guarantee any particular uptime or availability of the Service, especially if downtime results from issues with a third-party service (e.g., an outage in the AI provider or Firebase). Any content downloaded or otherwise obtained through the use of the Service is obtained at your own discretion and risk, and you are solely responsible for any damage to your device or loss of data that results.
7.5 Limitation of Liability
To the extent permitted by law, in no event shall Aseyi or X-MASTERY LIMITED, its directors, officers, employees, affiliates, agents, or licensors be liable for:
- Indirect Damages: Any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, revenue, business, goodwill, use, data, or other intangible losses, even if we have been advised of the possibility of such damages.
- Direct Damages Cap: Our total liability to you for all claims arising out of or relating to these Terms or the Service (whether in contract, tort, or otherwise) is limited to the amount you have paid us in the last twelve (12) months, or, if greater, £100 GBP. If you have not paid any amount (for example, using the free version), our total liability shall not exceed £100 GBP. This limitation applies collectively to our company, its affiliates, officers, employees, and agents.
7.6 Exceptions
Nothing in these Terms shall limit or exclude our liability for losses which may not be lawfully limited or excluded under applicable law. For instance, we do not exclude liability for death or personal injury caused by our negligence or for our fraud or fraudulent misrepresentation. Additionally, because you are in the UK, these Terms do not affect any liability we may have under the Consumer Rights Act 2015 if it applies. However, in cases where you use the Service for business purposes (non-consumer use), any statutory consumer protections may not apply.
7.7 Acknowledgment
You acknowledge and agree that Aseyi has offered its Service and set its prices (if any) in reliance upon the disclaimers and limitations of liability set forth herein. You further acknowledge that the essential purpose of these disclaimers and limitations is to allocate the risks under this agreement between the parties, and that this allocation is reflected in the pricing and offering of Aseyi, and is an essential element of the basis of the bargain between us. Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you. In such jurisdictions, Aseyi's liability will be limited to the greatest extent permitted by law.
8. Termination
8.1 By You
You may stop using the Service at any time. You may also delete your account at any time through the app settings or by contacting us at hi@aseyi.com. Deleting your account will terminate your right to access certain parts of the Service that require an account. If you delete your account, we will handle your data as described in our Privacy Policy (generally, data will be deleted or anonymized). If you are on a subscription and you delete your account without canceling the subscription, please note that deletion does not automatically cancel payments – ensure you cancel any active subscription to avoid future charges.
8.2 By Aseyi
We reserve the right to suspend or terminate your access to the Service (or certain features of the Service) at any time, with or without notice, if you violate these Terms or if we reasonably suspect that you have. We may also suspend or terminate the Service or your account for other reasons, including (but not limited to) if we discontinue the Service (in whole or part), if we face unexpected technical or security issues, or if we have to comply with a legal requirement. Where reasonable, we will try to provide advance notice to you of termination or suspension (for example, in case of service discontinuation). However, in cases of urgent misconduct or harm, we may act without notice. We are not liable to you or any third party for any such suspension or termination of your access.
8.3 Effect of Termination
Upon any termination of these Terms or your account: (a) the rights and licenses granted to you hereunder will cease immediately; (b) you must stop using and delete any local copies of the app if applicable; and (c) your content may no longer be accessible to you (except as otherwise provided in the Privacy Policy for data access requests). If your account is terminated due to a breach of these Terms, you are not entitled to any refund of unused subscription fees. If we terminate the Service entirely, we will provide pro-rata refunds for any prepaid period that can no longer be used, unless termination was due to your breach.
8.4 Surviving Provisions
Any provision of these Terms that by its nature should survive termination (such as ownership provisions, indemnities, disclaimers, limitations of liability, and governing law) will survive termination of your use of the Service.
9. Intellectual Property Rights
9.1 Aseyi's IP
All right, title, and interest in and to the Service (excluding your User Content) are and will remain the exclusive property of X-MASTERY LIMITED (Aseyi) and its licensors. This includes all software, code, systems, logos, trademarks, content (such as any text or graphics we provide), and the design and functionality of the app. The Aseyi name and logo are our trademarks and may not be used in any manner without our prior written consent. These Terms do not grant you any ownership rights in the Service, but only a limited license to use it as set out above.
9.2 Third-Party IP
Some features of Aseyi may use or include third-party software, content, or code that is subject to open source or third-party license terms. Where such licenses require it, we will provide notices or attributions within the app or documentation. Your use of those third-party materials is subject to their respective licenses. Nothing in these Terms limits your rights under (or grants rights that supersede) the terms of any applicable third-party license.
9.3 Copyright Infringement (DMCA Policy)
If you believe that any content on Aseyi infringes your copyright, please contact us with a written notice. The notice should include identification of the copyrighted work and the material claimed to infringe, as well as your contact information and a statement of good faith and accuracy. Upon receiving a proper notice, we will investigate and, if appropriate, remove or disable access to the allegedly infringing material. Aseyi respects intellectual property rights and expects users to do the same. Repeat infringers' accounts may be terminated.
10. Miscellaneous
10.1 Changes to Terms
We may modify these Terms from time to time. When we do, we will provide notice to you by updating the "Last Updated" date at the bottom of the Terms, and for significant changes we may provide a prominent notice (such as a notification within the app or an email). It is your responsibility to review the Terms periodically. By continuing to use the Service after any changes come into effect, you agree to the revised Terms. If you do not agree to the new terms, you must stop using the Service and, if applicable, cancel your subscription and delete your account.
10.2 Governing Law
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales. If you are a consumer and live in Scotland or Northern Ireland, you may choose to have the laws of that part of the United Kingdom apply to any disputes. These laws will apply without regard to conflict of law principles.
10.3 Jurisdiction and Dispute Resolution
You and Aseyi agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or your use of the Service. If you are a consumer residing in Scotland or Northern Ireland, you may alternatively bring proceedings in your local courts. We both agree to submit to the personal jurisdiction of such courts. Notwithstanding this, you and Aseyi both retain the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of our respective intellectual property rights.
10.4 Indemnification
You agree to indemnify, defend, and hold harmless Aseyi (X-MASTERY LIMITED) and its affiliates, officers, agents, partners, and employees from and against any and all third-party claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service (including any actions by any person using your account); (b) your violation of these Terms or of any law or regulation; or (c) your User Content, including any claim that your content infringes or misappropriates third-party rights or violates applicable law. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations), and in such case, you agree to cooperate with our defense of such claim.
10.5 No Waiver
No failure or delay by Aseyi in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right or remedy, nor shall any partial exercise preclude any further exercise of the same or some other right or remedy. Our rights and remedies under these Terms are cumulative and not exclusive of any other rights or remedies provided by law.
10.6 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or other tribunal of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect. We will, in good faith, modify or replace the invalid or unenforceable provision with a valid and enforceable provision that achieves as closely as possible the original intent and economic effect of the original provision.
10.7 Assignment
You may not assign or transfer these Terms (or any rights or obligations in these Terms) without our prior written consent. Any attempt to assign without consent will be null and void. Aseyi may freely assign or transfer its rights and obligations under these Terms as part of a merger, acquisition, sale of assets, or by operation of law, or to any affiliate or as part of a corporate reorganization.
10.8 Entire Agreement
These Terms, together with the Privacy Policy and any additional guidelines or policies we provide in the Service, constitute the entire agreement between you and Aseyi regarding the Service and supersede any prior agreements or understandings (whether oral or written) between us relating to the subject matter. In case of any conflict between these Terms and any other policy (except the Privacy Policy regarding data handling), these Terms will generally control.
10.9 Third-Party Rights
These Terms do not confer any rights on any third party (except affiliates of Aseyi as explicitly provided). You and we agree that no third party has the right to enforce any provision of these Terms under the Contracts (Rights of Third Parties) Act 1999.
